1. Agreement to Terms

These Terms of Service govern your use of the AI Vertical Labs website, AI dispatcher services, SMS notification services, implementation support, and related services provided by AI Vertical Labs and 16718744 Canada Inc. By accessing our website or using our services, you agree to these Terms.

2. Services Description

AI Vertical Labs provides website services and AI-powered communication services for trade businesses, including AI dispatchers, inbound call answering, appointment booking, lead capture, missed-call follow-up, emergency escalation, reporting, and SMS notifications.

Our services may use third-party platforms to process calls, messages, analytics, hosting, and related operational data. Service availability may depend on third-party providers, customer configuration, phone networks, and internet connectivity.

3. User Responsibilities

You are responsible for providing accurate business information, service-area rules, escalation instructions, pricing guidance, calendar availability, and contact details needed to configure your AI dispatcher and related services.

• You must not use the services for unlawful, deceptive, abusive, or spam-related communications.
• You are responsible for obtaining any consents required from your customers, employees, and contacts before sending us their personal information or using automated communications with them.
• You must promptly notify us of changes that could affect service accuracy, including business hours, emergency rules, pricing, or phone-routing instructions.

4. Payment Terms

Fees are due according to the plan, invoice, or written order form agreed with AI Vertical Labs. Unless otherwise stated, the Starter plan is priced at $497 one-time setup and $397 per month, and the Professional plan is priced at $997 one-time setup and $797 per month.

Monthly fees are billed in advance. Setup fees cover onboarding, configuration, and initial deployment work and are generally non-refundable once work begins. Late or failed payments may result in paused service access, delayed implementation, or termination.

5. SMS and Communications Consent

By providing a phone number to AI Vertical Labs, requesting a demo, submitting a form, booking a call, or using services that send SMS messages, you consent to receive transactional and service-related SMS communications from AI Vertical Labs or on behalf of our customers where applicable. These messages may include demo coordination, appointment confirmations, booking links, missed-call follow-ups, service updates, and support messages.

Opt out: You may opt out of SMS communications at any time by replying STOP to a message. After you opt out, we may send a final confirmation message and then stop non-essential SMS messages to that number unless you later provide renewed consent.

Message frequency varies based on your interactions and service configuration. Message and data rates may apply. Consent to receive SMS messages is not a condition of purchasing services unless SMS functionality is an essential part of the service you request.

6. Data Retention

We retain account, billing, support, website, call, SMS, and service configuration data for as long as needed to provide services, comply with legal obligations, resolve disputes, maintain security, and improve our operations. Retention periods may vary based on the type of data, contractual requirements, provider limitations, and applicable law.

When data is no longer reasonably needed, we delete, de-identify, or archive it according to our operational and legal requirements.

7. Limitation of Liability

To the maximum extent permitted by law, AI Vertical Labs and 16718744 Canada Inc are not liable for indirect, incidental, consequential, special, punitive, or lost-profit damages arising from your use of the services. Our total liability for any claim related to the services is limited to the amount you paid to us for the affected service during the three months before the event giving rise to the claim.

We do not guarantee that every call, lead, message, appointment, emergency, or customer interaction will be captured, routed, interpreted, or processed without error.

8. Termination

Either party may terminate services according to the applicable order form or written agreement. We may suspend or terminate access if you fail to pay fees, misuse the services, violate these Terms, create security or legal risk, or use the services in a way that could harm AI Vertical Labs, our providers, or others.

After termination, we may retain limited records as described in these Terms and our Privacy Policy.

9. Governing Law

These Terms are governed by the laws of New Brunswick, Canada, without regard to conflict-of-law rules. The courts located in New Brunswick, Canada will have jurisdiction over disputes that cannot be resolved informally.
